Agreement and relationship to other terms
By creating a Partner account, purchasing or using Professional or Agency, joining a referral program, accepting a Partner invitation, receiving commissions or using AMOURE professionally, you agree to these Partner Terms. They supplement the Terms of Service and Privacy Policy. If there is a conflict concerning professional use, these Partner Terms control.
Partner programs
AMOURE may offer Referral, Professional, Agency and other partner relationships. Current features, pricing, capacity and add-ons are displayed on AMOURE, in the Partner dashboard or at checkout and may change for future subscribers. Existing recurring subscribers will receive advance notice of material recurring price changes where required or reasonably appropriate.
- Referral: eligible partners may refer customers and earn qualifying referral commissions.
- Professional: currently includes up to 5 active weddings, 1 Partner user, professional planning tools, couple collaboration, professional analytics and referral eligibility.
- Agency: currently includes up to 25 active weddings, up to 5 team members, Professional functionality plus team assignments, roles and permissions, agency analytics, company goals, team workload and centralized operations.
Professional capacity
Additional active-wedding capacity may be available for Professional accounts. The current standard extra-wedding price may be displayed as $49 per additional slot where applicable. Unless AMOURE expressly permits otherwise, Professional accounts may not exceed 8 active weddings through add-ons and may be required to move to Agency for additional capacity. Checkout terms govern the specific purchase.
Agency capacity and seats
Agency accounts may purchase additional capacity or team seats where offered. Add-ons may carry separate fees, may end when the underlying Agency subscription ends and remain subject to terms displayed at purchase.
Eligibility and verification
Partners must be at least 18, legally able to contract, authorized to act for any registered business or agency, and compliant with applicable law. AMOURE may require identity, business, tax or payout verification before activating features or issuing funds.
Partner accounts and team access
You are responsible for accurate account information, account security, appropriate permissions, removing users who no longer need access and activity occurring through your Partner organization. You may not share one seat among multiple people to evade seat limits. Authorized team-member actions may be treated as actions of the Partner organization.
Independent relationship with clients
AMOURE provides technology. JTXConcepts LLC is not the wedding planner and is not a party to the professional-services agreement between a Partner and client. Partners remain responsible for their planning services, advice, deadlines, vendor coordination, pricing, contracts, client refunds, representations, professional errors or omissions and legal compliance.
Authority to manage weddings
Before creating a wedding, inviting a client, entering client data, uploading a guest list or managing information for another person, you must have appropriate authority and a legitimate professional or lawful basis. Access must end when your authority ends.
- Do not create fictitious weddings to evade limits.
- Do not access former-client weddings without continuing authorization.
- Do not use wedding information for unrelated advertising, profiling or surveillance.
- Do not misrepresent your authority to act for a couple.
Client and guest data
Partners may handle personal information including client and guest names, contact details, plus-one information, RSVPs, meal selections, seating, travel information, media and other wedding information. Partners are responsible for lawful collection, appropriate notices and permissions, and collecting only what is reasonably necessary.
Privacy roles and data processing
Depending on the activity and applicable law, AMOURE and the Partner may have different privacy responsibilities. For information a Partner uploads on behalf of a client, AMOURE may process data to provide the Services according to the Partner’s instructions while independently determining processing needed for account administration, security, fraud prevention, billing, legal compliance, analytics and troubleshooting. Where applicable law requires a Data Processing Addendum, AMOURE may require or provide one.
Data minimization
Partners should not enter unnecessary Social Security numbers, passports, government IDs, banking credentials, full payment-card data, detailed medical records or similarly sensitive information into general AMOURE fields.
Couple access and ownership
A Partner subscription does not make the Partner the owner of a client’s personal information or User Content. Partners must not intentionally prevent clients from accessing information that belongs to them solely as leverage in a business dispute. Where technically and legally appropriate, AMOURE may permit a verified client to establish or retain access to their wedding information.
Partner and client content
Rights in wedding photos, videos, messages, guest information and other User Content remain with the person or entity that otherwise owns them. Partners retain rights in original professional materials they independently create and own, subject to rights granted to clients in their own contracts. Uploading content grants AMOURE only the operational license described in the Terms of Service.
Active weddings and archiving
An Active Wedding is a wedding occupying capacity under the applicable Partner plan. Archived weddings generally do not count toward active capacity unless otherwise indicated. Unless a different rule is displayed, an archived wedding may be eligible for reopening for up to 30 days after archival. Reopening after that period is not guaranteed and may require capacity, an additional purchase or available retained data. Archiving may not be used to evade plan limits.
Subscriptions and recurring billing
Professional and Agency may be offered as recurring subscriptions. By purchasing, you authorize recurring charges at the disclosed interval until canceled. Price, billing frequency, included capacity, seats and trial terms will be shown before purchase.
Trials
AMOURE may offer a 14-day free trial or another promotional trial to eligible Partners. Where a trial converts to paid, conversion terms and price will be disclosed before enrollment. AMOURE may limit trials by person, business, payment method or other reasonable eligibility criteria.
Billing, cancellation and non-proration
Partners must keep billing information current. Unless otherwise stated, cancellation takes effect at the end of the current paid billing period, access continues through that period, no later renewal is charged, and unused time is not prorated or converted to cash. Mandatory rights remain unaffected.
Upgrades and downgrades
Upgrade billing treatment will be shown before confirmation. A downgrade generally takes effect on the next billing period unless AMOURE states otherwise. Before a downgrade, a Partner may need to reduce active weddings, team members, capacity, seats or use of features to the new plan limits. AMOURE may restrict new activity while an account exceeds those limits.
Failed payments and refunds
If payment cannot be collected, AMOURE may retry, request updated payment information, restrict paid functionality, pause new publication or suspend paid access after reasonable notice. Partner fees and add-ons are generally non-refundable once the billing period or service begins unless checkout terms, AMOURE or applicable law provides otherwise.
Heirloom partner products
AMOURE may offer Heirloom products or add-ons to Professional and Agency partners. Where a $199 partner offering is displayed, its features, eligibility, storage, online availability, archive period and payment structure are governed by the applicable product page or checkout. Heirloom is not permanent storage.
Referral program
Eligible Partners may participate in the AMOURE referral program. Unless a different rate is disclosed for a particular program, the current standard referral commission is 20% of qualifying revenue. The applicable rate is the rate associated with the referral program when the qualifying referral is attributed, subject to these Partner Terms.
Qualifying referrals
A referral generally qualifies only when properly attributed using an approved method, a qualifying purchase is completed, payment is successfully collected, the transaction is not fraudulent and any applicable refund, cancellation, chargeback or review period is satisfied. Additional referral-program rules may apply.
Non-qualifying referral activity
Commissions are not earned on self-referrals designed to generate commissions, fictitious customers, duplicate accounts, payment fraud, unauthorized purchases, misleading advertising, referral manipulation, cookie stuffing, automated traffic, spam or transactions later refunded or charged back. AMOURE may reverse commissions associated with non-qualifying activity.
Commission calculation
Unless expressly stated otherwise, percentage-based commissions are calculated from qualifying net revenue actually received and retained by AMOURE. Qualifying net revenue may exclude taxes, refunds, chargebacks, credits, fraud, disputed amounts and amounts not ultimately retained. AMOURE records control unless the Partner demonstrates a material error.
Stripe Connect and payouts
AMOURE may use Stripe Connect or another payment provider for Partner payouts. Partners may need to create or connect an eligible account, accept provider terms, provide identity, business, banking and tax information and complete verification. The provider may delay, restrict, withhold, reverse or reject transactions or payouts where permitted or required by its terms or law.
Payout adjustments
AMOURE may reasonably adjust, withhold, deduct or offset payouts because of refunds, chargebacks, disputes, duplicate payments, mistaken overpayments, fraud, tax withholding, referral-rule violations or another amount properly owed to AMOURE. Legitimately earned commissions will not be arbitrarily confiscated.
Taxes
Partners are responsible for determining and paying taxes applicable to their professional services, commissions, payouts, bundled services and other amounts they receive. AMOURE may collect tax information, issue tax forms or withhold amounts where legally required. AMOURE does not provide tax advice.
Bundling AMOURE with planning services
Professional and Agency Partners may describe access to AMOURE as part of their wedding-planning package where permitted by the plan. Unless expressly authorized, a Partner may not claim to own AMOURE, represent it as proprietary software, remove or falsify AMOURE branding, sublicense it independently from legitimate professional services, sell unauthorized lifetime access or make promises that AMOURE itself does not make.
Branding and affiliation
Permission to use AMOURE names, logos, badges or graphics is limited, non-exclusive, revocable and subject to brand guidelines. Participation does not make a Partner an employee, owner, exclusive representative or legal agent of JTXConcepts LLC. Partners may not register confusingly similar domains, social handles, company names or trademarks.
Marketing and advertising
Partners are responsible for lawful advertising and disclosures. Do not use false earnings claims, fake testimonials, deceptive discounts, fabricated reviews, misleading AMOURE endorsements, spam or unauthorized messaging. Where referral compensation requires disclosure, the Partner is responsible for making it.
Prohibited conduct
Partners may not access client accounts without permission, sell guest lists, harvest guest data, use RSVP data for unrelated advertising, impersonate clients, falsify weddings, bypass plan or seat limits, manipulate referrals, access another Partner’s clients, interfere with security, knowingly introduce malicious code or use AMOURE for unlawful activity.
Confidentiality
Each party may receive non-public information belonging to the other. Partners must use AMOURE confidential information only as reasonably necessary for the relationship and protect it with reasonable care. Confidentiality does not cover information lawfully public, independently developed, already known without restriction or lawfully obtained from another source. Legally required disclosures are permitted.
Intellectual property and feedback
JTXConcepts LLC retains all rights in the AMOURE platform, software, interfaces, systems, branding, templates, product designs, documentation and workflows. Partner access is a limited right to use the Services, not ownership. Voluntary product feedback may be used without restriction or compensation, but this does not transfer ownership of client content or confidential Partner materials.
Service changes and beta features
AMOURE may improve, modify, replace or discontinue features. Future features are not guaranteed merely because they appear on a roadmap, preview, mockup, beta, social post or informal discussion. Beta or preview features may contain errors, change significantly, have limited support or be discontinued and should not be the sole storage location for important client information.
Suspension and termination
AMOURE may suspend or terminate Partner access for unpaid fees, fraud, security concerns, unauthorized access, misuse of client data, serious or repeated violations, unlawful activity, referral abuse, risk to clients or guests, provider requirements or material breach. Immediate action may be taken where needed to protect users, systems, data, funds or legal rights.
Client transition after termination
Termination of a Partner account does not necessarily require permanent deletion of a client wedding. Where appropriate, AMOURE may allow a verified client to assume control, purchase an eligible customer plan, transfer management to another authorized Partner, export eligible information or preserve information temporarily for an orderly transition. Verification may be required.
Independent contractor and no exclusivity
The Partner is an independent business. Nothing creates employment, partnership, franchise, agency, fiduciary relationship, joint venture or exclusivity. Neither party may bind the other without express written authorization. Unless separately agreed, Partners may use competing services and AMOURE may work with other planners and agencies.
Insurance and professional requirements
Partners are responsible for determining whether their business should maintain professional liability, general liability, cybersecurity or other insurance, licenses, registrations or professional protections. AMOURE software does not satisfy a Partner’s independent professional obligations.
No guaranteed business results
AMOURE does not guarantee that use of the platform will acquire clients, increase revenue, generate referral commissions, improve business performance or produce a particular professional result. Analytics and business tools are informational.
Disclaimers and liability
To the maximum extent permitted by law, Partner Services are provided “as is” and “as available.” JTXConcepts LLC does not guarantee uninterrupted service, permanent storage, permanent integrations or particular business outcomes. To the maximum extent permitted by law, aggregate liability arising from the Partner relationship will not exceed the greater of Partner subscription fees actually paid during the 12 months before the event giving rise to the claim or USD $100 where no subscription fees were paid. Mandatory legal rights remain unaffected.
Partner indemnification
To the extent permitted by law, the Partner agrees to defend, indemnify and hold harmless JTXConcepts LLC from third-party claims arising from the Partner’s professional services, promises to clients, unauthorized processing of client or guest data, Partner-provided infringing content, privacy or marketing violations, fraudulent referrals, material breach or unlawful use of AMOURE, except to the extent a claim is caused solely by conduct that law does not permit AMOURE to shift.
Governing law and disputes
These Partner Terms are governed by Wyoming law without regard to conflict-of-law principles, subject to mandatory law that cannot be excluded. Before formal proceedings, the parties should attempt in good faith to resolve disputes. Partners may contact jtxconcepts@gmail.com. Unless applicable law requires otherwise, disputes may be brought in a court with lawful jurisdiction.
Changes, acceptance and general terms
AMOURE may update Partner Terms as products, pricing structures, Partner programs or legal obligations change. Material changes affecting an existing paid relationship will receive reasonable notice where required or appropriate. AMOURE may record the accepted version, date, time and account identifier. Electronic acceptance has the same effect as signing where permitted by law. Assignment, severability, no-waiver and entire-agreement principles apply as described in these Terms and incorporated policies.
